By-Laws of The ASSOCIATION of Washington Community and Technical College Administrators

ARTICLE I - Name

Section I.

The name of this organization shall be the Association of Washington Community and Technical College Administrators.

ARTICLE II - Objectives

Section 1.

The objectives of this Association shall be to provide:

A. programs and services that facilitate the professional growth of members.

B. opportunities for members to advance the interests of Washington community and technical colleges.

C. programs and services which promote a sense of identity, a spirit of cooperation, and the general welfare of Association members.

ARTICLE III - Membership

Section 1.

Membership shall be of five types: institutional, individual, associate, inactive, and honorary.

Section 2.

Institutional membership shall be open to:

A. Washington Community and Technical Colleges

B. Any other entities within the Washington Community and Technical College System which have separate administrative structures (e.g., District Offices, Consortium Structures, the State Board staff)

Section 3.

All administrators of a member institution are considered members of the Association.

Section 4.

Individual membership is open to administrators at Washington Community and Technical Colleges, or other entities as defined above, whose institutions do not purchase an institutional membership.

Section 5.

Associate membership will be open to administrators outside the State of Washington who wish to affiliate with the Association.

Section 6.

Inactive membership will be available to retired administrators who wish to participate in Association activities.

Section 7.

The Executive Board may confer the title of Honorary Member to persons who have rendered distinguished service to Washington community and/or technical colleges.

Section 8.

Annual dues shall be set by the Executive Board and approved by the membership at a regularly scheduled business meeting. Notice of annual dues shall be mailed to eligible members by May 31 and shall be due and payable prior to the beginning of the new Association fiscal year.

ARTICLE IV - Elected Officers

Section 1.

The elected officers shall be a President, a President-elect, a Secretary, and a Treasurer. The Past President will also serve on the board. Ten Directors will be appointed. Two Directors shall be district or college chief executive officers; one shall be a business or administrative services administrator (Business Affairs Commission); one shall be a human resources administrator (Human Resources Management Commission); one shall be an information technology administrator (Information Technology Commission); one shall be an instructional administrator (Instruction Commission); one shall be a public information administrator (Public Information Commission); one shall be a student services administrator (Student Services Commission); one shall be an administrator from The State Board for Community and Technical Colleges and one shall be appointed at large from groups not otherwise represented.

ARTICLE V - Elections

Section 1.

A. The President-elect and the Secretary and Treasurer shall be elected at the annual meeting to serve for staggered 2-year terms or until their successors are elected.

B. The President-elect shall automatically become the President for a 2-year term.

C. The Directors shall be appointed by their respective commissions and serve staggered 2-year terms.

D. A majority vote of members present shall constitute an election.

Section 2.

A. At a regular meeting of the Executive Board held prior to the annual meeting, the President-elect shall present one or more names for each office to be filled and to prepare ballots for voting. Nominations may also be made from the floor. All officers shall be elected at the annual meeting.

B. No officer shall serve more than two consecutive terms in the same office, nor be eligible again for that office until after an interval of four years.

C. Officers shall be installed and shall assume their duties at the close of the annual meeting.

ARTICLE VI - Duties of Officers

Section 1.

The President shall:

A. Call and preside at all Association and Executive Board meetings.

B. Appoint standing and special committees with the assistance of the Executive Board, and be an ex officio member of all committees except the Nominating Committee.

C. Approve and sign, with the treasurer, warrants for payment of money from the treasury.

D. Be the official representative of the Association in reporting to government and civic leaders, news media, and the public.

E. Perform all duties incidental to the office and such other duties as may be prescribed by the Executive Board from time to time.

F. Upon the conclusion of his/her term, serve a 2-year term on the Executive Board as Immediate Past President.

Section 2.

The President-elect shall:

A. Assume the duties of the President in the President's absence and the office of President at the expiration of the President's term.

B. Automatically become President for the unexpired part of the term in case of resignation or death of the President. They shall also serve their own full term.

C. Present nominations for officer positions and membership to the Executive Board.


Section 3.

The Secretary shall:

A. Record the proceedings of all Association and Executive Board meetings.

B. Notify officers and committee members of their election or appointment if they were absent from the meeting, and furnish committees with materials referred to them.

C. Prior to each meeting, and after consultation with the President, prepare a list in proper order of items that are to be brought up at Association or Executive Board meetings.

Section 4.

The Treasurer shall:

A. Approve and sign, with the President, warrants for payments of money from the treasury.

B. Call the meeting to order in the absence of the President and the President-elect and preside over the election of a temporary presiding officer.

C. Collect all dues and be responsible for all funds and securities of the Association.

D. Keep an accurate record of receipts and expenditures according to accepted accounting principles.

E. Prepare quarterly and annual financial reports for the Executive Board and the membership.

Section 5.

All officers shall assist the President in accomplishing the objectives of the Association. All officers shall perform the duties prescribed in the adopted parliamentary authority in addition to those specified in these by-laws. They shall deliver to their successors all materials pertaining to their offices within ten days after the annual meeting.

ARTICLE VII - Executive Board

Section 1.

A. The Executive Board shall consist of all elected and appointed officers, the chairs of standing committees, and the Chair of the Presidents’ Academy or another member of WACTC, not already on the Executive Board, designated to represent the Academy.

B. Eight voting members of the Executive Board shall constitute a quorum and may call a meeting of the Executive Board.

C. Vacancies occurring on the Executive Board shall be filled by appointment of the President and confirmed by the remaining members of the Board for the unexpired term of the position vacated.

Section 2.

The Executive Board shall transact all business between Association meetings and shall report all actions to the membership. None of the acts of the Executive Board shall conflict with decisions made by the membership.

Section 3.

The Executive Board may contract with an organization or individual to provide an Executive Director, staff and office space.

A. The Executive Director shall serve as the administrator for the Association, provide a central office (to be known as the Association office), and hire staff as necessary to provide the services contracted for by the Association.

B. The Executive Director and office staff shall provide support to the Executive Board and the committees, assist in the planning and implementation of the Association’s professional development activities, handle membership billing and record keeping, and maintain Association files and historical records.

C. The Executive Director shall serve as an ex officio non-voting member of the Executive Board.

ARTICLE VIII - Committees

Section 1.

Standing committees of the Association shall be Professional Development; Awards and Professional Recognition; Scholarships; Leadership Development; and Marketing, Membership and Communications. Special committees may be formed at the annual meeting or by the Executive Board or the President at any time.

ARTICLE IX - Meetings

Section 1.

A. Meetings of the Association shall be held at least once per year and at other times as scheduled by the Executive Board.

B. The annual meeting shall be the first regularly scheduled meeting of each fiscal year.

C. All business, other than elections, may be conducted at any regularly scheduled meeting.

D. The active members present shall constitute a quorum for the annual and other meetings.

ARTICLE X - Fiscal Year

Section 1.

The fiscal year of the Association shall be from July 1 through June 30.

ARTICLE XI - Parliamentary Authority

Section 1.

The most recent edition of Robert's Rules of Order, Revised shall govern the proceedings of this Association in all matters, unless superseded by these by-laws or standing rules of the Association.

ARTICLE XII - Amendment

Section 1.

Proposed changes to these by-laws shall be available to the members at least ten days prior to the meeting at which they will be subject to a vote. They shall be mailed to the designated contact individual for each member institution, and to individual members who are not located at a member institution.

Section 2.

These by-laws may be amended by a two-thirds vote of those present and voting at any meeting of the Association.
